Welcome to Coffi, LLC (“Coffi,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Coffi mobile app, website, and related services (collectively, the “Services”).
By using Coffi, you agree to these Terms. If you don’t agree, please do not use the Services.
I. Account Registration & Security
Account Requirements: You may need to register to use certain features. You agree to provide accurate information and keep it updated.
Security: You’re responsible for safeguarding your account credentials and any activity that occurs under your account. Please notify us promptly if you suspect unauthorized access.
Social Login: You may sign in via Google, Apple, or Facebook. You must comply with those providers’ terms as well as these.
II. Subscription & Billing
Freemium Model: Coffi offers both a free tier and a paid Pro subscription with additional features.
Billing: Subscriptions are processed through Apple App Store or Google Play. We receive confirmation of your subscription status but do not collect or store your payment information.
Auto-Renewal & Cancellation: Subscriptions auto-renew unless canceled. You can cancel anytime via your app store account settings, but refunds are subject to the store’s policies.
Access Upon Cancellation: You retain access to Pro features through the end of your billing cycle if you cancel mid-period.
III. License & Use
Coffi grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.
You may not reverse engineer, misuse, circumvent security, or use the Services in unauthorized or automated ways.
IV. User Content
Definition: “User Content” includes reviews, assessments, ratings, comments, and photos you upload.
Public Visibility: By submitting User Content, you acknowledge it is publicly visible to other users. Please avoid sharing sensitive personal information.
Your Grant: You grant Coffi a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your content to operate and promote the Services. You retain your ownership.
Representations: You confirm you have the rights to submit your content, and it's not infringing or illegal.
Moderation Rights: We reserve the right to remove or block any User Content that violates these Terms, community guidelines, or legal obligations.
V. Prohibited Conduct
You agree not to:
Violate laws or third-party rights
Upload harmful code (like viruses or malware)
Impersonate others or misrepresent affiliations
Use automation to access or scrape the Services
Misuse content, APIs, or overwhelm the service.
VI. Feedback
Any feedback you provide gives Coffi a perpetual, royalty-free right to use or modify it at our discretion.
VII. Third-Party Links & Services
Coffi may link to or integrate with third-party websites or services. We are not responsible for others’ practices or content.
Authentication and communication services (e.g. Google, Apple, Mixpanel, AWS) are covered in our Privacy Policy.
VIII. Disclaimers & Warranties
The Services are provided “AS IS.” We disclaim all warranties, express or implied, including merchantability or fitness for a purpose.
We do not guarantee uninterrupted, secure, or error-free service.
IX. Limitation of Liability
To the fullest extent permitted by law, Coffi and its affiliates are not liable for consequential, incidental, or indirect damages arising from your use or inability to use the Services.
X. Indemnification
You agree to defend and indemnify Coffi for any claims arising from your violation of these Terms or misuse of the Services.
XI. Termination
You may stop using Coffi and delete your account anytime.
We may suspend or terminate access for breaches or legal reasons.
Surviving provisions include ownership, confidentiality, warranties, indemnity, liability, and others by nature.
XII. Changes to Terms
We may update these Terms. If changes are significant, we’ll provide notice (e.g. via email or in-app) at least 30 days before they take effect. Continued use of the Services signifies your acceptance.
XIII. Governing Law & Dispute Resolution
Any claim or dispute arising out of or relating to these Terms, the Services, or your use thereof shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict‑of‑laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Delaware. You hereby irrevocably consent to the exclusive jurisdiction and venue of these courts and waive any objection based on inconvenient forum or lack of personal jurisdiction.
Service of process may be effected by registered or certified mail to your address as provided in your account, which shall constitute effective and binding service for the purposes of any legal proceeding.
Notwithstanding the foregoing, Coffi may seek injunctive, declaratory, or equitable relief in any court of competent jurisdiction, including courts outside of Delaware, to protect its intellectual property or other rights, at its discretion.
XIV. Miscellaneous
Entire Agreement: These Terms and Privacy Policy constitute the full agreement between you and Coffi.
Severability & Waiver: If part of these Terms is invalid, the rest remain in force. Waiver of any provision is not a waiver of others.
Assignment: You cannot transfer these Terms; Coffi may do so freely.
